Engagement of OAKdot Technologies' professional services (software development, cybersecurity, etc.) is governed by a separate written Service Agreement or Statement of Work ("SOW") agreed between OAKdot Technologies and the client. In the event of any conflict between these Terms and a specific Service Agreement, the Service Agreement shall prevail.
Proposals and quotes issued by OAKdot Technologies are valid for 30 days from the date of issue unless otherwise stated. Commencement of services is subject to receipt of a signed agreement and agreed deposit payment.
Unless otherwise agreed in writing, our standard payment terms are as set out in the relevant Service Agreement. Overdue invoices may attract interest at the applicable statutory rate under Nigerian law.
All content on this website, including text, graphics, logos (including the OAKdot brand and logo), and software, is the property of OAKdot Technologies Ltd and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
Subject to full payment of all agreed fees, OAKdot Technologies assigns to the client all intellectual property rights in custom deliverables created specifically for that client, as specified in the applicable Service Agreement. OAKdot retains ownership of pre-existing tools, frameworks, libraries, and methodologies used in the delivery of services.
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of an engagement. OAKdot Technologies is willing to execute a Non-Disclosure Agreement (NDA) prior to any project discussions. Please contact us to request one.
To the maximum extent permitted by applicable law, OAKdot Technologies Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. Our total liability in connection with any service engagement shall not exceed the total fees paid by the client for the specific services giving rise to the claim.
Nothing in these terms limits liability for death, personal injury, or fraud caused by our negligence.
Our website is provided on an "as is" basis. We make no warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of content on our website. We do not warrant that our website will be uninterrupted, error-free, or free of viruses.
For contracted services, warranties are as specified in the relevant Service Agreement.

These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Nigerian courts, or resolved by arbitration in Lagos, Nigeria, as agreed between the parties.
We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes take effect constitutes acceptance of the revised terms.
